Agreement to Terms

By accessing or using the LotFlux website (lotflux.com) or the LotFlux WordPress plugin, you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use our website or plugin. LotFlux is operated by 25 Fathoms LLC.

Description of Service

LotFlux is a commercial WordPress plugin that connects RV dealership websites to live inventory data via the MarketCheck API. The plugin enables dealers to display, search, filter, and manage vehicle inventory listings on their WordPress websites. LotFlux is offered in three tiers: Free, Premium, and Preferred, each with different feature sets and usage limits as described on our Pricing page.

License and Use

Upon purchase of a valid license, you are granted a non-exclusive, non-transferable license to install and use LotFlux on the number of WordPress sites permitted by your plan. You may not redistribute, resell, sublicense, reverse engineer, or modify the plugin source code. Free-tier users are granted a limited license subject to the same restrictions.

Account Responsibilities

You are responsible for maintaining the confidentiality of your license key and API credentials. You are responsible for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or credentials.

Acceptable Use

You agree not to use LotFlux to: violate any applicable law or regulation; transmit malicious code or interfere with the operation of any website or server; scrape, harvest, or collect data from other dealers or websites; exceed the API rate limits or usage quotas of your plan tier; or misrepresent your identity or affiliation with a dealership.

Third-Party Services

LotFlux relies on the MarketCheck API and other third-party services. Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or reliability of third-party services. Disruptions to third-party APIs may temporarily affect plugin functionality.

Data and Content

You retain ownership of all content and data on your WordPress site. Inventory data provided through the MarketCheck API is subject to MarketCheck's terms. Lead form submissions collected through LotFlux belong to you as the dealer. You are responsible for complying with applicable data protection laws regarding customer information you collect.

Payment and Billing

Premium and Preferred licenses are billed annually. Prices are listed on our Pricing page and may change with 30 days notice. Refunds are available within 14 days of purchase if you are not satisfied, provided the plugin has not been used to sync more than 100 vehicles. License renewals are automatic unless cancelled before the renewal date.

Intellectual Property

LotFlux, including its code, design, documentation, and branding, is the intellectual property of 25 Fathoms LLC. The LotFlux name, logo, and tagline are trademarks of 25 Fathoms LLC. Nothing in these terms grants you any right to use our trademarks without prior written consent.

Disclaimer of Warranties

LotFlux is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the plugin will be error-free, uninterrupted, or compatible with every WordPress configuration. We do not guarantee the accuracy of inventory data sourced from third-party APIs.

Limitation of Liability

To the maximum extent permitted by law, 25 Fathoms LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of LotFlux, including but not limited to lost profits, lost sales, data loss, or business interruption. Our total liability for any claim shall not exceed the amount you paid for your LotFlux license in the 12 months preceding the claim.

Termination

We may suspend or terminate your license if you violate these terms. Upon termination, your right to use the plugin ceases immediately. Sections regarding intellectual property, limitation of liability, and indemnification survive termination.

Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of LotFlux after changes constitutes acceptance of the revised terms.

Governing Law

These terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Florida.
